1. Purpose
- The parties wish to exchange confidential information for the purpose of evaluating and/or supplying engineering, CNC machining, fabrication, tooling, and related services (“Purpose”).
2. Confidential Information
- “Confidential Information” includes drawings, CAD files, RFQs, BOMs, specifications, pricing, samples, tooling information, process details, and any other non-public information disclosed in any form.
3. Obligations
- Use Confidential Information only for the Purpose.
- Protect Confidential Information using reasonable care (at least the same level used to protect its own similar information).
- Limit access to employees/contractors who need to know for the Purpose and are bound by confidentiality obligations.
- Do not disclose to third parties without prior written consent.
4. Exclusions
- Information is not confidential if it is public through no breach, already known, independently developed, or received lawfully from a third party without restriction.
5. Term
- This agreement starts on the Effective date and remains in effect for ________ years.
- Confidentiality obligations remain for ________ years from the date of disclosure.
6. Return / Destruction
- Upon written request, the receiving party will return or destroy Confidential Information, except for archival copies retained for legal/compliance purposes.
7. No License
- No rights or licenses are granted under this agreement except as necessary for the Purpose.
